1. About Smoothly Automation

Smoothly Automation is a business process automation consultancy operating in Pampanga, Philippines. We provide services including website design and development, CRM setup, software integration, chatbot training and deployment, workflow automation, and custom software development.

2. Use of This Website

This website is provided for informational purposes and to facilitate contact with potential clients. You may use this website only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:

  • Use the site in any way that violates applicable local, national, or international laws
  • Transmit any unsolicited or unauthorized advertising or promotional material

3. Service Engagements

All service engagements are governed by a separate written agreement or Statement of Work ("SOW") entered into between you and Smoothly Automation prior to work commencing. These Terms of Service apply to your general use of this website and do not constitute a service agreement on their own.

The scope, deliverables, timeline, and fees for any project will be defined in the applicable SOW or proposal. Work will not begin until a signed agreement and any required deposit are received.

4. Payments

Payment terms, rates, and schedules are detailed in the individual project agreement. Generally:

  • A deposit is required before project work begins
  • Invoices are issued according to the agreed payment schedule
  • Unpaid invoices may result in a pause or suspension of work
  • We reserve the right to withhold delivery of final files or access until payment is received in full

5. Refund Policy

All services provided by Smoothly Automation involve significant custom work and dedicated time. As such:

  • Projects not yet started: If work has not commenced, a full refund of any deposit will be issued within 7 business days of your written cancellation request.
  • Projects in progress: Once work has commenced, deposits and payments for completed milestones are non-refundable. You will be invoiced only for work completed up to the point of cancellation.
  • Completed deliverables: No refunds are issued for work that has been delivered and accepted.
  • Disputes: If you believe a deliverable does not meet the agreed specifications, you must raise the concern in writing within 14 days of delivery. We will work in good faith to resolve the issue through revisions as defined in the project agreement.

6. Intellectual Property

Your content: You retain ownership of all content, data, and materials you provide to us for use in your project.

Deliverables: Upon receipt of full payment, intellectual property rights for custom deliverables created specifically for your project transfer to you, except where third-party tools, platforms, or licenses are involved (e.g., HubSpot CMS, third-party APIs or SDKs). Those remain subject to their respective terms.

Our tools and processes: We retain ownership of our internal frameworks, methodologies, generic code components, and tooling that are not specific to your project.

7. Disclaimer of Warranties

This website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

We do not guarantee specific results from our services. Outcomes depend on many factors including your business context, third-party platforms, and your team's participation in the process.

8. Limitation of Liability

To the fullest extent permitted by law, Smoothly Automation shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this website or our services, including but not limited to loss of revenue, loss of data, or business interruption.

Our total liability for any claim arising out of or related to our services shall not exceed the total fees paid by you to Smoothly Automation for the specific project giving rise to the claim.

9. Third-Party Links and Services

Our website may contain links to third-party websites (such as HubSpot, Zapier, n8n, or other platforms we work with). These links are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

10. Governing Law

These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the appropriate courts in Pampanga, Philippines.

11. Changes to These Terms

We may update these Terms of Service from time to time. Any changes will be posted on this page with an updated date. Your continued use of the website after changes are posted constitutes acceptance of the revised terms.
